1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property. We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”). Our Content and Marks are provided “AS IS” for your personal, non-commercial use or internal business purpose only.

Your use of our Services. Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose. We reserve all rights not expressly granted to you.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

•       all registration information you submit will be true, accurate, current, and complete;

•       you will maintain the accuracy of such information;

•       you have the legal capacity and agree to comply with these Legal Terms;

•       you are not a minor in the jurisdiction in which you reside, and you are at least 18 years of age;

•       you will not access the Services through automated or non-human means;

•       you will not use the Services for any illegal or unauthorized purpose; and

•       your use of the Services will not violate any applicable law or regulation.

4. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

•       systematically retrieve data from the Services to create a collection or database;

•       trick, defraud, or mislead us or other users;

•       circumvent security-related features of the Services;

•       disparage or harm us or the Services;

•       use information obtained from the Services to harass or harm another person;

•       make improper use of support services or submit false reports;

•       use the Services in violation of laws or regulations;

•       upload or transmit viruses or malicious code;

•       engage in automated use of the system; or

•       interfere with the Services or connected networks.

5. USER GENERATED CONTRIBUTIONS

The Services may allow users to submit content (“Contributions”). You represent and warrant that your Contributions comply with applicable laws and do not infringe third-party rights. You are solely responsible for your Contributions.

6. CONTRIBUTION LICENSE

By submitting Contributions, you grant Valiant Brokerage LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display such Contributions in connection with operating the Services.

7. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor the Services for violations, take appropriate legal action, refuse or restrict access, remove excessive files or content, and otherwise manage the Services to protect our rights.

8. TERM AND TERMINATION

These Legal Terms shall remain in effect while you use the Services. We reserve the right to deny access to anyone for any reason, including breach of these Terms.

9. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove contents of the Services at any time without notice. We do not guarantee uninterrupted availability.

10. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws applicable to Valiant Brokerage LLC’s principal place of business, without regard to conflict-of-law principles.

11. DISPUTE RESOLUTION

Informal Negotiations. Parties agree to attempt informal negotiations for at least thirty (30) days before initiating arbitration.

Binding Arbitration. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules.

12. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors at any time without prior notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

14. LIMITATIONS OF LIABILITY

IN NO EVENT SHALL VALIANT BROKERAGE LLC OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Valiant Brokerage LLC from any loss, damage, liability, claim, or demand arising out of your use of the Services or breach of these Legal Terms.

16. USER DATA

We will maintain certain data that you transmit to the Services for managing performance of the Services. You are solely responsible for your data.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive communications electronically.

18. SMS / TEXT MESSAGING TERMS

These SMS terms apply to your enrollment in and use of the Valiant Brokerage LLC text messaging program (the “Program”). By providing your mobile number and opting in, you agree to these terms.

•       Program description and use cases. By opting in, you agree to receive recurring SMS/MMS text messages from Valiant Brokerage LLC. Messages relate to our brokerage and related services and may include appointment and follow-up reminders, account and transaction notifications, customer-service responses, document or status updates, and — where you have separately consented — marketing and promotional offers.

•       Opt-in / consent. You may enroll by submitting your mobile number through one of our web forms, checking an opt-in box, or texting a designated keyword. Consent to receive text messages is not a condition of purchasing any goods or services.

•       Message frequency. Message frequency varies depending on your interactions with us.

•       Message and data rates. Message and data rates may apply. Such charges are billed by and payable to your mobile service provider. Please contact your wireless carrier for details about your plan.

•       Opt-out instructions. You can cancel at any time by texting STOP to the number from which you received the message. After you send STOP, we will send a one-time confirmation message, after which you will no longer receive SMS messages from us. You may also reply UNSUBSCRIBE.

•       Help. For help or more information, reply HELP to any message, email [email protected], or call 435-900-4647.

•       Carrier liability disclaimer. Wireless carriers (mobile service providers) are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your wireless carrier and is not guaranteed.

•       Eligibility. You must be at least 18 years old and the account holder or authorized user of the mobile number to enroll in the Program.

•       Privacy. Your information is handled in accordance with our Privacy Policy, available at https://valiantbrokerage.com/privacy-policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

19. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and Valiant Brokerage LLC regarding use of the Services.
